These Terms of Service and End-User License Agreement ("Terms") form a legal agreement between TaskMerit LLC ("TaskMerit," "we," "us," or "our") and the person or organization using TaskMerit's websites, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization.

1. Eligibility and Organizational Authority

You must be at least 18 years old and legally able to enter into a binding agreement.

An organization is responsible for its administrators, users, employees, contractors, account settings, permissions, and use of the Service. An administrator's instructions concerning an organization's workspace may be treated as authorized instructions from that organization.

2. The Service

TaskMerit provides business-management software for field-service organizations. Available features may include customer and property management, employee and crew coordination, scheduling, work records, documents, communications, accounting connections, support tools, and related operational functions.

Some features may be private beta, experimental, limited, or available only to selected organizations. Features may be added, changed, suspended, or discontinued as the Service develops.

TaskMerit does not provide legal, tax, accounting, employment, environmental, safety, chemical-application, or other professional advice.

3. License

Subject to these Terms, TaskMerit grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your organization's lawful internal business purposes.

You may not copy, sell, lease, sublicense, reverse engineer, circumvent, or commercially exploit the Service except where applicable law expressly permits it.

TaskMerit and its licensors retain all rights not expressly granted in these Terms.

4. Accounts and Security

You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for activity performed through your account.

You must not share an individual account, impersonate another person, or attempt to obtain permissions you have not been granted.

TaskMerit may require email verification, multi-factor authentication, session reauthentication, or other security measures. You must promptly notify us at info@taskmerit.com if you suspect unauthorized access.

Organization administrators are responsible for promptly changing or removing access when a user's role or relationship with the organization changes.

5. Acceptable Use

You may not use the Service to:

  • Violate any law, regulation, contract, privacy right, intellectual-property right, or other legal right.
  • Access another organization's information without authorization.
  • Upload malicious code or interfere with the security, availability, or operation of the Service.
  • Circumvent access controls, usage limits, or security protections.
  • Scrape, probe, test, or reverse engineer the Service without written authorization.
  • Send unlawful, deceptive, abusive, or unsolicited communications.
  • Store information you are not legally permitted to collect or use.
  • Use the Service for emergency dispatch, life-safety operations, or another purpose where a delay or error could reasonably cause death or serious physical injury.

We may investigate suspected misuse and suspend access when reasonably necessary to protect the Service, our customers, or others.

6. Customer Data

As between TaskMerit and the customer organization, the customer retains its rights in information and materials submitted to the Service ("Customer Data").

The customer grants TaskMerit a limited right to host, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, support, and improve the Service; comply with lawful instructions; and meet our legal obligations.

The customer represents that it has the rights and permissions necessary to provide Customer Data to TaskMerit and instruct us to process it.

Customers are responsible for the accuracy, legality, quality, and appropriateness of Customer Data and for maintaining any independent records required by law or normal business practice.

7. Employees, Location, Communications, and Monitoring

Certain features may process employee or contractor information, work activity, time records, location information, communications, photographs, or other operational evidence.

The customer—not TaskMerit—is responsible for determining whether and how to use these features and for providing all notices, policies, bargaining, and consent required by employment, privacy, surveillance, recording, and location-tracking laws.

Location, mapping, time, and device information may be delayed, incomplete, or inaccurate and must not be used as the sole basis for a safety-critical or legally consequential decision.

8. Field-Service and Regulatory Responsibilities

TaskMerit may help organize contracts, product labels, safety data sheets, chemical-application records, property warnings, permits, measurements, work evidence, estimates, invoices, or other operational documents.

TaskMerit does not determine whether a job is safe, legal, properly licensed, properly priced, or compliant. The customer remains responsible for:

  • Workplace and job-site safety.
  • Required licenses, permits, certifications, and insurance.
  • Chemical labels, safety data sheets, application rules, and environmental requirements.
  • Employee and contractor compliance.
  • Contract, tax, accounting, payroll, billing, and record-retention obligations.
  • Reviewing information before relying on it or providing it to a customer, regulator, accountant, or other third party.

The Service is not a substitute for professional judgment, inspection, training, or legally required records.

9. Third-Party Services and QuickBooks

The Service may connect with third-party products such as QuickBooks Online. Third-party services are controlled by their providers and are governed by separate terms and privacy policies.

You authorize TaskMerit to exchange information with a connected service according to the permissions you approve. You are responsible for confirming that the correct company account is connected and for reviewing imported, exported, and synchronized information.

TaskMerit is not affiliated with or endorsed by Intuit unless expressly stated. QuickBooks and Intuit are trademarks of Intuit Inc.

We do not guarantee the availability, accuracy, or continued operation of a third-party service. TaskMerit is not responsible for changes, outages, errors, fees, or data handling controlled by a third-party provider.

10. Automated and Artificial-Intelligence Features

TaskMerit may offer automated or artificial-intelligence-assisted features. Unless expressly stated otherwise, generated suggestions are drafts and may be incomplete or incorrect.

You are responsible for reviewing generated schedules, messages, estimates, classifications, summaries, recommendations, and other outputs before approving or relying on them.

TaskMerit will not treat an AI-generated suggestion as authorization for a consequential action unless an authorized user approves that action or the organization has deliberately configured an applicable automation.

11. Support Access

Authorized TaskMerit personnel may access limited account or customer information when reasonably necessary to provide support, investigate security issues, maintain the Service, or comply with law.

Support access is subject to applicable permissions, safeguards, and audit controls. TaskMerit support personnel do not become the customer user whose view is being examined.

Customers must not provide passwords or authentication codes to TaskMerit support personnel.

12. Fees

Certain features may require payment under an order form, subscription selection, or other written agreement. You will not be charged a new fee unless the applicable price and payment terms have been presented and accepted.

Unless otherwise stated in an applicable order, fees are non-refundable except where required by law.

Taxes imposed on your purchase or use of the Service are your responsibility, excluding taxes based on TaskMerit's net income.

13. TaskMerit Property and Feedback

The Service, including its software, design, branding, documentation, and underlying technology, is owned by TaskMerit or its licensors and is protected by intellectual-property laws.

If you provide feedback, you grant TaskMerit a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

14. Suspension and Termination

You may stop using the Service at any time. An organization may request account closure by contacting info@taskmerit.com, subject to identity and authority verification.

We may suspend or terminate access if you violate these Terms, fail to pay agreed fees, create a security or legal risk, misuse the Service, or if continued operation is no longer reasonably possible.

Following termination, access to Customer Data may end. Customers should maintain legally required records and request any reasonably available export before closing an account.

Sections that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.

15. Service Availability and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TASKMERIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY BUSINESS, WORKFLOW, OR LEGAL REQUIREMENT.

TASKMERIT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes a warranty or right that applicable law does not allow to be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKMERIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA.

TASKMERIT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT THE CUSTOMER PAID TASKMERIT FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose, but they do not apply where prohibited by law.

17. Indemnification

To the extent permitted by law, the customer organization agrees to defend, indemnify, and hold harmless TaskMerit and its officers, employees, and agents from third-party claims arising from:

  • Customer Data.
  • The customer's business operations.
  • The customer's violation of law or these Terms.
  • The customer's use of employee monitoring, location, communications, chemical, billing, or regulated-work features.
  • Instructions or actions submitted by the customer's authorized users.

This obligation does not apply to the extent a claim was caused by TaskMerit's unlawful conduct or gross negligence.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Before filing a lawsuit, the parties will make a good-faith effort to resolve the dispute informally for at least 30 days after written notice. If the dispute is not resolved, it may be brought in a state or federal court with jurisdiction in New York, and each party consents to that jurisdiction.

This section does not prevent either party from seeking urgent relief to prevent unauthorized access, misuse, or infringement.

19. Changes to These Terms

We may update these Terms as the Service evolves. We will post updated Terms with a revised effective date and provide any additional notice required by law.

If a material change requires renewed agreement, we will request it before the change applies. Continued use after other updated Terms take effect constitutes acceptance.

20. General Provisions

These Terms and any applicable order form constitute the agreement concerning the Service. If an order form conflicts with these Terms, the order form controls for that customer.

If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer these Terms without TaskMerit's written consent. TaskMerit may transfer them as part of a merger, reorganization, financing, or sale of its business.
